Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Jacqui platform and website at jacqui.io (the "Service"), operated by SKYRACK SOFTWARE LIMITED, a company registered in England and Wales ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate, current, and complete information when registering.
  • Keep your password secure and not share it with others.
  • Notify us immediately at hello@jacqui.io if you suspect unauthorised access to your account.
  • Not create accounts for deceptive or fraudulent purposes.

We reserve the right to suspend or terminate accounts that we believe have been compromised or used in violation of these Terms.

3. Permitted Use

The Service is designed for legitimate competitive intelligence and business research purposes. You may use Jacqui to:

  • Track publicly available marketing emails from competitor brands by subscribing to their mailing lists.
  • Analyse patterns, promotions, and sending frequency of competitor email campaigns.
  • Share insights with members of your team on your account.

You are responsible for ensuring that your use of the Service, including the collection and processing of third-party emails, complies with all applicable laws and the terms of any third-party services you interact with.

4. Prohibited Use

You must not use the Service to:

  • Violate any applicable law or regulation, including data protection laws.
  • Collect or process personal data of individuals without a lawful basis under applicable data protection law.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Attempt to gain unauthorised access to our systems, infrastructure, or other users' accounts.
  • Use automated tools to scrape, crawl, or otherwise extract data from the Service in ways not intended by us.
  • Resell, sublicense, or otherwise commercialise access to the Service without our prior written consent.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
  • Use the Service for any unlawful, harmful, or abusive purpose.

5. Subscription Plans & Payment

Jacqui offers subscription plans, details of which are available on our pricing page. By selecting a paid plan, you agree to pay the applicable fees.

  • Free trial: New accounts receive a 30-day free trial. No credit card is required to start. At the end of the trial, you must upgrade to a paid plan to continue using the Service.
  • Billing: Paid plans are billed monthly or annually in advance. All payments are processed securely via Stripe.
  • Price changes: We may change our pricing at any time. We will give you at least 30 days' notice before any price change takes effect for your subscription.
  • Taxes: Prices are exclusive of applicable taxes (such as VAT). Taxes will be applied at checkout where required.
  • No refunds: All fees are non-refundable except as required by law or as expressly stated in these Terms.

6. Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period and you will retain access to the Service until that date. We do not provide refunds for partial billing periods. Upon cancellation, your account data will be retained for 90 days before being permanently deleted, during which time you may reactivate your account.

7. Intellectual Property

Our IP: The Service, including its design, code, branding, features, and content created by us, is owned by SKYRACK SOFTWARE LIMITED and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for the purposes described in these Terms. You may not copy, modify, distribute, or create derivative works from our platform.

Your data: You retain ownership of all data and content you upload or input into the Service. By using the Service, you grant us a limited licence to process your data solely to provide and improve the Service.

8. Third-Party Services

The Service integrates with third-party services including Stripe (payments) and OpenAI (AI analysis). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of any third-party services.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including:

  • That the Service will be uninterrupted, error-free, or free from security vulnerabilities.
  • That AI-generated insights, analyses, or summaries will be accurate, complete, or suitable for any particular purpose.
  • That any results obtained from use of the Service will meet your expectations.

AI-generated content on the platform is provided for informational purposes only and should not be relied upon as professional business, legal, or financial advice.

10. Limitation of Liability

To the fullest extent permitted by applicable law, SKYRACK SOFTWARE LIMITED shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, goodwill, or business opportunities.
  • Any damages arising from your reliance on AI-generated insights.
  • Any interruption or unavailability of the Service.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless SKYRACK SOFTWARE LIMITED and its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if required to do so by law. Upon termination:

  • Your right to access and use the Service will immediately cease.
  • Any outstanding fees for the current billing period will remain due.
  • Your data will be retained for 90 days before permanent deletion, subject to our legal obligations.

If we terminate your account without cause, we will provide a pro-rated refund for any prepaid fees covering the unused portion of your subscription.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the "Last updated" date above. Your continued use of the Service after changes take effect constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protection rights you may have under the law of your country of residence.

15. General

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor in the event of a merger, acquisition, or sale of assets.
